This User Agreement ("Agreement") is a contract between you and RoutePay and applies to your use of the RoutePay payment service and any related services available through www.routepay.com (collectively the "Service"). If you do not agree to be bound by the terms and conditions of this Agreement, do not use or access the services provided.
Each of the terms, conditions and policies of this agreement may be changed from time to time and are effective immediately after the changes are published on the RoutePay.Com website.
Eligibility::
In order to use the RoutePay Service, (1) you must register for a Personal or Business account, (2) you must be at least 18 years of age and of the age of majority, whichever is older, in your country of residence; (3) you must open an Account in accordance with the instructions set out in the registration page; (4) you must not be in default of any of the User Agreement or otherwise have access limited to your Account, nor have had any previous Account closed by us;
You acknowledge and accept that by checking the “ I agree with the and ” box of the registration page when registering your Account, you agree to abide by the following terms and conditions (“Terms of Use”) concerning your use of the RoutePay Services.
Definitions and Interpretation::
In this User Agreement, the following words have the meaning set out beside them:
»Member means any person who meets all eligibility requirements set out in this User Agreement, and means both a Registered Member and an Unregistered Member, as the context requires;
»Merchant means any commercial or business entity that is validly registered with RoutePay and enabled to receive and send payments to Members;
»Account means (a) your online stored value account which holds electronic money (1 “Registered Account”); or (2) your online direct transaction account which cannot purchase nor hold electronic money (an “Unregistered Account”);
»Fees means any and all fees and charges required by RoutePay for your use of the RoutePay Service, as stated on the Website and which may be modified by RoutePay from time to time;
»RoutePay Service means the electronic money issuer and transfer service provided by RoutePay;
»RoutePay , we, or our will refer collectively to RoutePay;
»You or Your means any person or entity using the Service ("Users")
»RoutePay Exchange Rate means the exchange rate used by RoutePay on all currency exchange transactions as published on our Website;
»Registered Member means a Member who has a Registered Account, either Business or Personal account;
»Unregistered Member means a Member who has an Unregistered Account; and may not purchase or hold electronic money for the account;
»transfer means, as the context allows, (1) the debiting of an amount of electronic money from your Registered Account and the simultaneous crediting of such amount to a Merchant account or other Registered Member account, as designated by you; or (2) the crediting of an amount of electronic money to your Registered Account and the simultaneous debiting of a Merchant account or other Registered Member account;
»transfer means, as the context permits, (1) the debiting of an amount of electronic money from your Account and the simultaneous crediting of such amount to a Merchant account or other Member account, as designated by you; or (2) the crediting of an amount of electronic money to your Account and the simultaneous debiting of a Merchant account or other Member account, in each case less any applicable Fees.
»Website means the RoutePay.com website, or such other website through which RoutePay may offer the RoutePay Service from time to time.
This User Agreement apply to all Members, unless if there are provisions in this User Agreement which relate solely to Registered Accounts (whether expressly stated in this User Agreement or otherwise implied by the context), shall not apply to Unregistered Members.
It is a condition of membership that you agree to the User Agreement, which form a legally binding contract once you become a Member. We may find it necessary to modify the User Agreement from time to time and the changes will come into effect immediately on posting the changes on our Website.
RoutePay Service::
You accept that (1) RoutePay is not a bank; (2) Accounts are not insured by any government agency; (3) RoutePay does not act as a trustee, fiduciary or escrow holder in respect of balances in your Account; and (4) RoutePay does not pay you interest on any balances in your Account.
Upon funding of your account, or upon any transfer of your electronic money to your Account, RoutePay will hold the funds received from you, or from such other payee as appropriate, as segregated, and will pool these funds with funds representing the balances of other Members in a bank account held by RoutePay. Although you are not required to keep a balance in your Account, if you do have a balance in your Account, RoutePay will ensure that funds representing that balance are segregated as aforesaid. Such funds are held by RoutePay on your behalf. Any interest earned on the pooled account will be the property of RoutePay.
Membership::
To become a Member, you must open an Account by completing all requested information set out on the registration page of our website. A Member must maintain an active address, and an email address to become and remain a Member. You will not provide any false, inaccurate, incomplete or misleading information. You will not provide any name that you are not legally authorized to use. You may not permit any other person to use your Account. You will promptly update your Account details on the Website if your name, address or email address changes.
Account Activity::
Transfers: Registered Members may make transfers by completing the information on the “Send” page of our Website. When making transfers, you may not enter an amount above the balance in your Registered Account at the time the request is made plus the applicable Fees. If you attempt to do so, your transfer request will be refused.
The amount of any transfer received will be credited to your Account balance, less any applicable Fees.
Registered Members may complete transfers as outlined above, or follow the direct to merchant transaction process offered by a Merchant, which does not affect their account balance.
Redemption: Registered Members may redeem at par all or a portion of the balance in a Registered Account by selecting one of the redemption methods available to you in your country of residence set out in the “Withdrawing Funds” page of our Website.
Fees::
You are responsible for the payment of all applicable Fees. Fees are indicated on the applicable web page or prior to your completing a transaction. All Fees are due immediately and are subject to change at any time.
RoutePay reserves the right to change fees from time to time. Updates will be indicated on the applicable web page or prior to your completion of a transaction.
Chargebacks::
You are fully responsible for any goods or services bought by you that are settled through your use of the RoutePay Service. Any dispute with a Merchant regarding any product or service bought by you through the RoutePay Service is between you and the Merchant and you agree that RoutePay shall not be a party to such dispute. RoutePay does not provide any warranties, representations, conditions or guarantees with respect to such goods and services.
You are fully responsible for the instructions you give RoutePay and as a result we may not be able to detect errors in your payment instructions.
You acknowledge and agree that except for Merchant error as confirmed by us, illegal activity involving your Account, or any breach by you of this User Agreement, all electronic money purchases, transfers to or out of your Registered Account are final and not reversible. RoutePay cannot arrange for your Registered Account to be refunded where you believe the purchase, transfer or withdrawal was made in error.
Reward or Referral Program::
Periodically, we may offer reward programs or other referral programs. We reserve the right to cancel or modify the terms of any such reward or promotional program at our discretion.
Only Registered Members are eligible to participate in reward or referral programs.
Member Obligations::
You are not allowed to use our service for any of the following:

using the RoutePay Service for any purpose contrary to laws, statutes or regulations applicable to you, including without limitation, those concerning money laundering, fraud, criminal activity, financial services or consumer protection; |
| (2) |
sending unsolicited email or similar methods of mass messaging (spam); |
| (3) |
harassing or engaging in obscene, rude or abusive behaviour against us or any of our representatives; and |
| (4) |
tampering, hacking, modifying, damaging, interfering with or otherwise corrupting the security or functionality of the RoutePay Service, or attempting to do any of the foregoing. |

It is your responsibility to keep your Account identification, secure identification, password, alternate password, transaction pin, security question and answer and other information specific to your Account confidential and in a safe and secure place. This includes ensuring the ongoing security of your log-in details on your personal computer device for accessing the Internet. Should another person gain access to your Account by passing all identification and security validation and verification checks, we may treat any transaction conducted by that person as valid and we are not responsible under any circumstances for any loss or damage you may incur as a result.
Restricted activities, Limiting Access or Terminating your Account::
At our discretion, we may suspend or limit access to your Account (including without limitation, placing a hold on funds in your Registered Account, limiting your ability to send or receive, or close your Account, at any time and for any reason, including but not limited to the following:

breach of any of this User Agreement; |

failure to comply with money laundering or terrorist financing investigations or prohibitions issued by government authorities, agencies or commissions. |
| (3) |
Sending of unsolicited email or posting referral links on websites where they are not permitted; |
| (4) |
the use of RoutePay for buying or selling tobacco products; |
| (5) |
the use of RoutePay for buying or selling prescription drugs; |
| (6) |
the use of RoutePay for buying or selling weapons and knives; |
| (7) |
the use of RoutePay for buying or selling government IDs and licences; |
| (8) |
the use of RoutePay for buying or selling firearms and ammunition; |
| (9) |
the use of RoutePay for buying or selling illegal downloads or any other goods and services infringing intellectual property rights of a third party; |
| (10) |
the use of RoutePay for buying or selling unlicenced lotteries; |
| (11) |
the use of RoutePay for buying or selling drugs and drug paraphernalia; |
| (12) |
the use of RoutePay for buying or selling porn and hardcore content or services. |

Warranties, Liabilities and Disclaimers::
We make no representations or warranties as to the continuous, uninterrupted or secure access to the RoutePay Service, which may be affected by factors outside our control, or may be subject to periodic testing, repair, upgrade or maintenance.
We assume that prior to opening your Account, you have determined that opening and maintaining your Account does not violate any law or regulations in your country of residence and jurisdiction. You warrant that you are not violating any laws or regulations by your use of the RoutePay Service and you agree to indemnify RoutePay, its affiliates, holding companies, subsidiaries, agents and subcontractors, from and against any and all liability that might arise from your use of the RoutePay Service in violation of any law or regulation.
Neither RoutePay nor any of its affiliates, holding companies, subsidiaries, agents or subcontractors shall be responsible for any claim, loss or damage suffered or incurred by you or any third party unless it has been caused as a direct result of our negligence or wilful misconduct; provided that under no circumstances shall RoutePay, its affiliates, holding companies, subsidiaries, agents or subcontractors be liable for any claim, loss or damage caused or alleged to be caused by any of the following:

errors made by you or any Merchant or other Registered Member in sending or receiving transfers or withdrawals, such as making a transfer to an unintended person or transferring an incorrect amount; |
| (2) |
use of your Account by another person who passes all identity and security validation checks; |
| (3) |
failure by you to use up to date virus scanning software and firewall protection on the computer or other device you use to access the Internet; |
| (4) |
any fraud or misrepresentation made by a Merchant or Member, even if the Merchant or Member passes all identity and security validation checks; |
| (5) |
errors or omissions in our Website content; |
| (6) |
misuse or inability to use our Website, whether due to reasons within our control or not; |
| (7) |
delays, losses, errors or omissions caused by the failure, interruption, infiltration or corruption of any hardware, software or other telecommunications or data transmission system; |
| (8) |
interception or seizure compelled by law; and |
| (9) |
circumstances beyond our control. |

You agree to indemnify RoutePay, its affiliates, holding companies, subsidiaries, agents and subcontractors from and against any and all claims brought by third parties against RoutePay, its affiliates, holding companies, subsidiaries, agents or subcontractors relating to your use of the RoutePay Service in respect of all claims, losses, damages, expenses and liabilities whatsoever suffered or incurred by RoutePay, its affiliates, holding companies, subsidiaries, agents or subcontractors as a result of your breach of this User Agreement.
The reproduction, modification, or redistribution of our trademarks, trade names, logos, website designs, text, content and graphics (banners, icons, headers), and other intellectual property is prohibited. Our banners, buttons and icons, etc, may be used for the purpose of promoting RoutePay.Com where permitted, but may not be reproduced, modified or redistributed.
You agree to waive any right you may have to commence or participate in any class action suit or proceeding against RoutePay, its affiliates, holding companies, subsidiaries, agents and subcontractors arising out of or relating to any dispute, claim or error and you also agree to opt out of any class proceedings against us.
RoutePay may engage the services of one or more affiliates, holding companies, subsidiaries, agents or subcontractors in order to fulfill its obligations. Businesses listed on our website as exchangers are independent and in no way related to RoutePay, and RoutePay does not guarantee the outcome of any transactions you may make with these companies.
We may send communications and notices to you at the email address or postal address you provided to us during the registration process (or as updated subsequently by you). Any and all communications and notices by either party under this User Agreement by email shall be deemed given on the day the email is sent, unless the sending party receives an electronic indication that the email was not delivered; and if by mail, shall be deemed given 10 business days after the date of mailing.
This User Agreement is subject to amendment, modification or deletion if required by, or found to be in conflict with, applicable law or regulation, without affecting the validity or enforceability of the remaining agreement. The User Agreement and the constitute the entire agreement between the parties with respect to the subject matter hereof and supersede and replace any and all prior agreements.
Our failure to exercise or enforce any right under this User Agreement shall not be deemed to be a waiver of any such right or operate to bar the exercise or enforcement thereof at any time or times thereafter.
The rights and remedies available to RoutePay in this User Agreement are cumulative and are in addition to any other right or remedy available to RoutePay at law or in equity.
You may not transfer, assign, subcontract or delegate your rights, duties or obligations under the User Agreement. We reserve the right to assign all or any part of our rights, duties and obligations under this Agreement, including the assignment of contractual position, or novation, or any other form of substitution of RoutePay by another party, which assignment or novation or other substitution you hereby irrevocably and unconditionally consent to. |
